These Terms of Service (“Terms”) govern your access to and use of the Audalis platform, including the website at audalis.co, the web application at app.audalis.io, and related services (collectively, the “Service”) provided by Audalis, LLC (“Audalis,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to use the Service.

2. Use of the Service

Permitted Use

The Service is a business communication and operations platform. You may use the Service for lawful business purposes in accordance with these Terms.

Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service to transmit spam, malware, or other harmful content
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service in a manner that violates the privacy or rights of others
  • Record calls or communications without proper consent as required by applicable law

Compliance with Communication Laws

You are responsible for complying with all applicable communication laws when using the Service, including but not limited to the Telephone Consumer Protection Act (TCPA), state wiretapping and recording consent laws, and any applicable international communication regulations.

3. Subscriptions and Payment

  • Access to the Service requires a paid subscription unless otherwise specified.
  • Subscription fees are billed in advance on a recurring basis (monthly or annually) as selected at the time of purchase.
  • All fees are non-refundable except as required by law or as expressly stated in these Terms.
  • We reserve the right to change pricing with 30 days’ notice. Price changes take effect at the start of your next billing cycle.
  • If payment fails, we may suspend or terminate your access to the Service.

4. Third-Party Integrations

The Service allows you to connect third-party services such as Google Calendar, Microsoft Outlook, HubSpot, Slack, Stripe, and ClickUp. Your use of third-party services is subject to those services’ own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

You may disconnect third-party integrations at any time through your account settings.

5. Data and Content

Your Data

You retain ownership of all data and content you submit to the Service (“Your Data”). By using the Service, you grant us a limited license to use, process, and store Your Data solely to provide and improve the Service.

Call Recordings and Transcripts

If you enable call recording or transcription features, you are solely responsible for obtaining all necessary consents from call participants as required by applicable law. Audalis provides the tools but does not determine when or how recordings are made.

AI-Generated Content

The Service may use artificial intelligence to generate call summaries, transcriptions, analytics, and other content. AI-generated content is provided for informational purposes and may not be fully accurate. You are responsible for reviewing and verifying AI-generated content before relying on it.

6. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Audalis and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

7. Confidentiality

We will treat Your Data as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law.

8. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We are not liable for any downtime, data loss, or service interruptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDALIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Audalis, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Termination

  • You may cancel your subscription and close your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a risk to the Service or other users.
  • Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 90 days after termination, during which you may request an export. After 90 days, Your Data will be deleted.

12. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the United States and be conducted in English.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

13. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Audalis regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: We may send notices to the email address associated with your account. You may send notices to privacy@audalis.co.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
